The increase in the number of mergers and acquisitions in the world shows that it is one of the most intensively used strategic tools for corporate restructuring. The research carried out in this master's thesis evaluates local and international acquisitions in the context of cultural differences, based on the oil and gas industry. The first part of the study analyzes the concept and development of mergers and acquisitions, as well as scientific literature to determine the sample of researches already performed. In the rest of the theory, the main motives and reasons for local and international acquisitions are identified. In order to avoid failures in the acquisition transactions, the factors influencing the success of the transaction were identified, as well as the factors leading to the failed transactions. Literature analysis leads to the conclusion that cultural differences between companies are a major guarantor of failure, therefore, the cultural differences existing in companies were analyzed and presented, and the impact of these differences on the merger and acquisition process was also reviewed. Indicators are also provided, which will allow calculating and comparing the results of companies before and after the transaction. |
